This Property Management and Service Provider Agreement governs the use of the Rentomise platform by property managers and service providers for engagement with family office clients and multiple property owners.

Property Management and Service Provider Agreement

This Property Management and Service Provider Agreement ("Agreement") is entered into by and between Rentomise Pty Ltd ("Rentomise"), and the undersigned property manager or service provider ("Provider"), collectively referred to as the "Parties."

WHEREAS, Rentomise operates a marketplace platform designed for property owners, family offices, and groups that own or manage multiple properties, (Service Acceptors or "Clients");

WHEREAS, Provider provides property management or related services and desires to use the Rentomise platform to connect with Clients;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. Purpose

This Agreement governs the use of the Rentomise platform by the Provider for engagement with Clients, specifically those who are family offices, property owners, or groups managing multiple properties.

2. Non-Circumvention

a. Provider acknowledges that Rentomise facilitates introductions and matches between Providers and Clients.

b. Provider agrees that, upon receiving an introduction or match via Rentomise, they will not engage or transact directly with the Client outside the Rentomise platform for any properties or related services for the Client without prior written approval from Rentomise.

c. Provider understands that any attempt to bypass Rentomise to transact directly with Clients introduced through the platform is a material breach of this Agreement.

3. Use of Rentomise Services

Provider agrees to utilise the Rentomise platform for all interactions, transactions and new business related to Clients introduced through Rentomise.

4. Concierge Service & Client Confirmation

a. Rentomise provides a concierge service for high-value family office clients.

b. Rentomise will periodically contact these Clients to confirm that Provider's engagement with the Client complies with this Agreement.

c. Provider shall cooperate with Rentomise in such confirmations and provide any necessary information or access.

5. Audits and Compliance

a. Rentomise reserves the right to conduct audits if there is reason to believe Provider has engaged in transactions outside the scope of this Agreement or the Rentomise platform.

b. Provider agrees to cooperate fully with any such audits and to provide relevant information upon request.

6. Remedies and Penalties

a. If Provider is found to have transacted outside the Rentomise platform with a Client introduced through Rentomise, Provider shall be liable for:

i. Reclaiming any revenue lost by Rentomise as a result of such breach; and

ii. A penalty amount to be determined at Rentomise's sole discretion.

b. Provider understands that these remedies are in addition to any other legal or equitable remedies available to Rentomise.

7. Term and Termination

This Agreement stays in effect for the duration of Provider's use of the Rentomise platform and may be terminated by either Party upon written notice.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Western Australia.

9. Entire Agreement

This Agreement supplements other Agreements, Policies and Terms as stipulated on the Rentomise website (rentomise.com.au) and agreed via use of the Rentomise platform between the Parties.
